These Terms of Service ("Terms") govern your access to and use of the services provided by Baelish ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. Please read them carefully.
Bespoke Client Agreements: Please note that these Terms provide a general framework for our relationship. All client engagements are subject to individual, bespoke agreements that will contain comprehensive terms specific to your project requirements, deliverables, timelines, and other particulars. The specific terms agreed upon in your individual client agreement will supersede any conflicting provisions in these general Terms.
Services Overview
Baelish provides memetic threat detection and security services designed to protect organizations and institutions from information warfare and harmful narrative campaigns. The specific scope, deliverables, timelines, and performance metrics for our services will be defined in your individual client agreement.
Client Responsibilities
By engaging our services, you agree to:
- Provide accurate and complete information necessary for the provision of our services
- Cooperate with us in a timely manner to facilitate the delivery of services
- Designate authorized representatives who can make decisions related to the services
- Review, test, and provide feedback on deliverables within agreed timeframes
- Comply with all applicable laws and regulations
- Maintain the confidentiality of any proprietary information and methodologies shared during our engagement
Intellectual Property
Unless explicitly stated otherwise in your individual client agreement:
- We retain ownership of all intellectual property rights in our services, methodologies, tools, and pre-existing materials
- You retain ownership of your pre-existing materials and information provided to us
- The ownership and license rights for deliverables created specifically for you will be outlined in your individual client agreement
- Neither party shall use the other's name, logo, or trademarks without prior written consent
Confidentiality
We understand the sensitive nature of our work and maintain strict confidentiality standards. Your individual client agreement will contain detailed confidentiality provisions, including specific security protocols, data handling procedures, non-disclosure requirements, and any specialized security clearance considerations.
Payment Terms
Payment terms, including fees, invoicing schedules, accepted payment methods, and late payment policies, will be specified in your individual client agreement. Unless otherwise agreed:
- Invoices are due within 30 days of issuance
- Recurring services may require advance payment
- Fees do not include applicable taxes
- Expenses must be pre-approved and will be invoiced separately
Term and Termination
The term of our engagement, renewal provisions, and termination procedures will be detailed in your individual client agreement. Generally:
- Either party may terminate for material breach after a specified cure period
- Specific termination notice periods will apply as detailed in your agreement
- Certain obligations (such as confidentiality and payment obligations) survive termination
- Upon termination, we will provide reasonable transition assistance as specified in your agreement
Limitation of Liability
To the maximum extent permitted by applicable law, our liability will be limited as specified in your individual client agreement. Standard limitations typically include:
- Exclusion of indirect, consequential, special, or punitive damages
- Caps on liability related to the fees paid for services
- Specific warranties and disclaimers tailored to your engagement
Governing Law and Dispute Resolution
Your individual client agreement will specify the governing law and dispute resolution mechanisms applicable to our engagement. This may include mediation, arbitration, or litigation procedures depending on your specific requirements and jurisdiction.
Changes to Terms
We may update these general Terms from time to time. However, the terms of your individual client agreement will remain in effect for the duration specified therein and can only be modified through written amendments signed by both parties.
